You must send an annual return to Companies House once a year if you’re a director of a registered company.

Your annual return is different from your company’s annual accounts and tax return, and usually won’t be done at the same time.

Companies House will send an email alert or reminder letter to your company’s registered address when your annual return is due.

The due date is usually a year after either the:

  1. incorporation of your company;
  2. date you filed your last annual return.

You can file your annual return up to 28 days after the due date.

You can be fined up to £5,000 and your company struck off if you don’t send Companies House your annual return.

What an annual return includes

  1. Your annual return must include:
  2. details of the directors and company secretary, if it has one;
  3. what your company does - including its standard industrial classification (SIC) codes;
  4. the type of company it is, eg private or public;
  5. the registered company address;
  6. the ‘single alternative inspection location’ (SAIL) - the address where records are kept if not at the registered address.

You may also need to include:

  1. a ‘statement of capital’ if your company has shares;
  2. details of shareholders, if required and depending how long since you last reported on them.

SIC codes

A SIC code is a number that identifies what a company does, eg code 25710 relates to ‘manufacture of cutlery’.

You can include up to 4 SIC codes on your annual return that relate to your company’s business.

Send your return online

It costs £13, which can be paid by credit card or PayPal.

Send your return by post

You can download and fill in an annual return form and post it to Companies House, if you can’t file your return online.

It costs £40 - include a cheque with your company number written on the back.

Where you send your return depends on where your company is based.

England and Wales: Companies House, Crown Way, Cardiff CF14 3UZ.

Scotland: Companies House, 4th Floor, Edinburgh Quay 2, 139 Fountainbridge, Edinburgh EH3 9FF.

Northern Ireland: Companies House, 2nd Floor, The Linenhall, 32-38 Linenhall Street, Belfast, Northern Ireland BT2 8BG.


From June 2016 Annual Returns will be known as Check and Confirm

The Check and Confirm statement will continue to work in a similar way as an Annual Return.

Every company must deliver an Annual Return to Companies House at least once every 12 months. It has 28 days from the date to which the return is made up to do this. To help you meet this filing requirement Companies House will send a reminder to the Registered Office Address of the company in advance. Companies House must make the information held about registered companies available to anyone who wants to see it. So the information you send will be added to your companies record and will be available for public inspection. Records held at Companies House are sometimes used to check the legitimacy of a company and its directors before credit or loans are made therefore it is important that the records are correct.
